1. SETTLEMENT TERMS:

Strictly Nett 30 days.

2. MINIMUM INVOICE VALUE:

Invoices with a Pre-Tax value below $100.00 will only be accepted on the basis of cash with order.

3. DELIVERY CHARGE:

All prices are ex WIPL Warehouse prices and delivery will be added to the invoice for those goods that WIPL deliver. The company reserves the right to offer DDP terms at its discretion.

4. CONDITIONS OF SALE

1. Property in the Goods shall not pass to the Customer until payment in full on any account relating to the sales of the Goods has been received by WIPL. Until full payment for goods has been received by WIPL :
   1. the relationship between the parties shall be fiduciary and the Customer WIPL hold such Goods as bailee;
   2. the Customer shall, at its cost, hold and store the Goods in such a way as to clearly identify them as the property of WIPL; and
   3. WIPL may, without prejudice to any of its other rights, inspect, search for, remove and re-take and resume possession of any of the Goods. The Customer hereby grants to WIPL, its servants and agents, leave and licence to enter upon the Customer’s premises, or any other place occupied by the Customer where the Goods may be, at any time without prior notice, using reasonable force if necessary, for that purpose if :
      1. there is any breach of any of these Terms and Conditions of Sale or any other contract between WIPL and the Customer, or
      2. the Customer takes any action which could result in his being made bankrupt or an arrangement under Part X of the Bankruptcy Act 1966 is involved against the Customer or where the Customer is a corporation, if the Customer is or becomes insolvent or an externally administered body corporate (within the meaning of the Corporations Law) enters into possession or takes control of the Customer’s undertaking or property or part thereof; or
      3. the Customer parts with possession of the Goods or any of them otherwise than by way of sale to a customer in the ordinary course of business; and
      4. if the Goods, or part thereof, are sold by the Customer, the Customer shall hold so much of the proceeds of such sales as equals the unpaid price payable to WIPL in a separate account, for WIPL. WIPL has the right to trace the proceeds of any such sales in accordance with equitable principles;
2. WIPL may recover the price of the Goods by action, and may apply to wind up or bankrupt the Customer, if the Goods are not paid for within WIPL's usual credit terms, notwithstanding that property in the Goods has not passed to the Customer.
3. These provisions apply notwithstanding any arrangement under which WIPL provides credit to the Customer. To the extent that there is any inconsistency, these provisions prevail.
4. If it becomes necessary to institute legal proceedings to recover unpaid debts to this company, all discounts showing on unpaid invoices become null and void and the total list prices showing become payable.
5. Proceedings to recover any outstanding amount owed by the purchaser may be commenced in any court in Australia.
6. Any expenses, costs or disbursements incurred by the supplier in recovering any outstanding monies (including debt collection agency fees and solicitors costs) shall be paid by the customer.

5. CREDIT CLAIMS/RETURNS: INVOICE NUMBER AND DATE MUST BE QUOTED ON ALL CLAIMS

1. SHORT DELIVERIES All claims for short deliveries MUST be received by our office within 5 DAYS FROM RECEIPT OF GOODS. NO CLAIMS for short delivery can be recognised after this time.
2. PRICING/DISCOUNTS/GOODS & SERVICES TAX: To assist us in reconciling and maintaining your account, any query you may have on your invoice regarding pricing, discount or GST, should be forwarded to our office as quickly as possible after receipt of your invoice.
3. RETURN OF INCORRECT GOODS:
   1. Valid claims for incorrect goods sent WIPL either be credited in full or a replacement sent provided we are notified within 10 days of receipt of goods. Claims over 10 days cannot be recognised.
   2. Incorrect goods cannot be accepted back by this company unless: Authorisation is sought from our office prior to returning the goods we have issued and faxed back an Authorisation for the return, the goods being returned are in a saleable condition, and, are accompanied by a copy of a valid Return Authorisation Form.
   3. Resaleable goods are
      1. In their original packaging
      2. Not shop-soiled
      3. Not price ticketed
      4. Still current catalogue items

      Incorrect goods returned in unusable condition (i.e. other than as above) cannot be accepted back for credit and WIPL be returned "freight-on" to the sender.

   4. Return Authorizations are valid for 4 weeks from the date of issue.
   5. Goods must be returned via the mode of transport acceptable to us mentioned on the Return Authorization Form. Freight WIPL not be paid for goods returned by means other than those nominated by this company.
   6. Indent items WIPL not be accepted for credit or exchange.
   7. At the company’s discretion a 20% Re-stocking fee for handling may be applied.
4. RETURN OF OTHER GOODS
   1. The Company WIPL accept returns of other goods only when required:
   1. by a condition or warranty implied by law that the Company cannot exclude.
   2. pursuant to an express product warranty issued by the company in respect of the goods, which remains in effect at the time of return.
   2. Prior to returning such goods, the customer must notify the company and the parties WIPL reach a prior agreement regarding an acceptable mode of transport and freight cost arrangement.
   3. To the extent permitted by law, and subject to the terms of any express product warranty, the company limits its liability for goods returned under this clause to repair or replacement of the returned goods.
   4. For avoidance of doubt, this clause must be read subject to, and in a manner consistent with, the obligations imposed on the company under Part V Divisions 2 and 2A of the Trade Practices Act 1974 (Cth).

6. PRICE CHANGES:

All prices quoted are subject to change without notice. Goods WIPL be billed at prices existing at the time of invoicing.

7. SUGGESTED RETAIL:

The "List Price" price quoted on Invoices and in Price Lists is for the convenience of WIPL customers and acts as a guide only. There is no obligation to use this price as the retail price. Retailers are free to use this price or to set a retail price that they wish.

We regret any inconvenience and request that should you ever have need to request a credit note or desire to return goods etc. to please observe the above procedures in order to avoid any embarrassment or non-processing or non-acceptance of claims and returns.
